Mr Antonino Renda (“Mr Renda”) breached his fiduciary duty to Crisplink Limited (“Crisplink”) through failing to act in the best interests of the company or its creditors by allowing the transaction of a salary payment to himself and his co-director in the total net sum of £285,100 on or around 25 July 2018, one month after the presentation of a winding up petition by Her Majesty’s Revenue and Customs (“HMRC”). The salary transaction had the effect of eliminating the Directors’ Loan Accounts (“DLAs”) which had previously maintained the balance sheet solvency of the company, and which would otherwise have been realisable for the benefit of creditors. In particular: • Mr Renda and his co-director operated DLAs with Crisplink throughout the life of the company and the balance thereon increased from £4,222 as at 31 May 2005 to £275,078 as at 31 May 2017. The professionally prepared accounts to 31 May 2017 were approved by the board 28 February 2018, signed by Mr Spathis and filed at Companies House on 08 March 2018. • Management accounts for the nine months to 28 February 2018 were also professionally prepared, being available to the board from April 2018 and showing an outstanding balance on the DLAs of £285,078. • On 21 June 2018 the largest creditor of the company HMRC issued a winding up petition against the company. • In July 2018 Mr Renda’s co-director instructed the company accountant to transact salary payments to himself and his co-director in the total gross sum of £545,791. This instruction was executed in the payroll run on 25 July 2018 and, after Tax and NIC, generated a net payment due to the directors in the total sum of £285,100; a sum which the company could not afford to pay. • The net salary due to the directors of £285,100 was set against the outstanding DLAs of £285,078, causing the balance sheet insolvency of the company. • The additional PAYE liability to HMRC as a consequence of the salary transaction amounted to £242,442, increasing the total debt to HMRC at liquidation to £715,302. • The directors instructed an Insolvency Practitioner to convene a general meeting of shareholders on 14 August 2018 to place the company into liquidation and subsequently, on 16 October 2018, Mr Renda’s co-director advised the Liquidator that no DLA was outstanding from Mr Renda or himself due to the award of salary aforementioned.
