Adam Bijster (Mr Bijster) failed to ensure that Cobra-Network (UK) Limited (‘Cobra’ or ‘the company’) met its financial commitments as regards to Value Added Tax (VAT) and Corporation Tax (CT) and caused the company to continue trading whilst withdrawing funds for the benefit of himself. As a result, the company became unable to meet its financial commitments to Her Majesties Revenue and Customs (HMRC) as and when they became due from 08 May 2019 resulting in losses to HMRC of at least £31,684 in that: CT: Cobra submitted a return for the year ending 31 October 2018 disclosing liabilities of £2,913, which was due for payment by 1 August 2019. Cobra made payments totalling £335 in the period 27 July 2019 to 10 February 2020. Cobra continued trading until 01 April 2021 no further returns were submitted, and no assessment raised. Cobra received income totalling £126,318 between 08 May 2019 and 28 June 2021. At liquidation, at least £2,778 remained outstanding in respect of CT liabilities including a £200 penalty applied for period 01 November 2018 – 31 October 2019 penalty for failure to file returns VAT: Cobra submitted returns for the quarters ending March 2019 to December 2020 detailing liabilities of £24,737 In the absence of returns assessments were raised for quarters ended March 2021 and June 2021 totalling £7,894. Cobra made payments in respect of VAT between 10 June 2019 and 25 February 2021 totalling £1,070. VAT of at least £26,530 remains outstanding at liquidation, including £2,336 in surcharges. Comparative Treatment The financial accounts for Cobra for the period ended 31 October 2019 showed that HMRC were the majority company creditor for £15,576 out of total creditors of £16,783. Cobra received income totalling £126,318 between 08 May 2019 and 28 June 2021. From 08 May 2019 onwards, payments amounting to £126,662 were made from Cobra’s business bank account of which £3,737 was paid to HMRC; £97,561 was paid to Mr Bijster directly and the remaining £25,364 was utilised for Mr Bijster’s personal benefit. Cobra entered into creditors voluntary liquidation on the 28 June 2021 owing HMRC at least £31,684 and £960 to another creditor.
