Mr Adrian Clements (‘Mr Clements’) breached his fiduciary duty to Platinum Commercial Services Ltd (‘PCS’) by causing or permitting payments to be made to himself and his co-director totalling £175,000 at a time when PCS had effectively ceased trading, was insolvent and to the detriment of creditors, in that: • On 16 March 2020 the Government announced that all unnecessary social contact should cease; • On the same day PCS’s main customer began to cancel jobs; • PCS effectively ceased trading on 17 March 2020 when it sent all staff home on unpaid leave; • On 20 March 2020 the Government advised that all pubs bars and restaurants would close for the foreseeable future; • Further job-cancellations were received by PCS from customers and on 24 March 2020 its main customer asked for a moratorium on payments; • On 25 March 2020 the directors became aware that further support from PCS’s bank was unlikely, the report to creditors states that this was refused; • On 25 March 2020 payments of £45,000 each were made to the directors; • On 27 March 2020 Mr Clements consulted with an insolvency practitioner; • On 31 March 2020 payments of £42,500 each were made to the directors; • At the liquidation date, 29 April 2020, creditors totalled £791,758 and PCS had a deficiency of £340,445; • Mr Clements has repaid £42,500 to the liquidator.
