Mr Clive Thomas (“Mr Thomas”) failed to ensure that Janus Information Systems Limite¬¬d (“Janus”) met its financial commitments as regards to Value Added Tax (VAT) and Corporation Tax (CT) and caused Janus to continue trading whilst withdrawing funds for the benefit of himself. As a result, Janus became unable to meet its financial commitments to HM Revenue and Customs (HMRC) as and when they became due from at least 01 March 2018, in that: • Janus submitted VAT returns for the quarter ending February 2018 through to the quarter ending February 2022 without payment, resulting in a total VAT liability due of £59,007. • HMRC issued VAT surcharges for the quarter ending August 2021 through to the quarter ending February 2022, resulting in a total VAT surcharge liability due of £2,107. • For the years ending 31 May 2017 through to 31 May 2021 Janus incurred CT liabilities totalling £101,353 including interest, based on returns submitted to HMRC. • Between 01 June 2017 and 31 May 2021, the amount that Mr Thomas owed to Janus via the Directors Loan Account, increased from £36,626 to £107,218. • Analysis of the available bank statements for the period 28 September 2020 to 28 November 2022 shows that payments from Janus’ customers totalled £137,075, of which £121,546 was paid to Mr Thomas. During the same period a total of £4,645 was paid to HMRC in respect of the VAT return for the quarter ending 31 May 2022 (the last return submitted by Janus for £3,853) and PAYE (£792). • At the date of liquidation, at least £162,467 was owed to HMRC in respect of VAT and CT.
