Between 03 February 2022 to 7 February 2022 Mr Sulakhan Singh Lota (“Mr Lota”) allowed Venture Orange Limited (“Venture Orange”) to make payments of £40,000 each to connected parties and himself, from the net sale proceeds received from the sale of a property owned by Venture Orange, totalling £120,000 to the detriment of HMRC in that: On 19 January 2022, Venture Orange sold a property it owned and each director was paid £40,000 of the net sale proceeds. A total of £120,000 of the net sale proceeds was paid to 3 directors On 1 February 2022, HMRC contacted a co-director and advised they would be issuing a Notice of Enforcement and to make a payment. On 2 February 2022, HMRC issued a Notice of Enforcement for £157,873.19 for the year ending 31 May 2020. According to draft management accounts, at 31 August 2022 Venture Orange was balance sheet insolvent with a deficiency of -£7,479. On 3 February 2022, the first payment of £40,000 was made to a co-director who resigned as an appointed director on 11 February 2022 On 6 February 2022, the second payment of £40,000 was made to Mr Lota who resigned as an appointed director on 25 February 2022 On 7 February 2022, the third payment of £40,000 was made to a co-director. On 5 May 2022 Venture Orange was placed into Creditors Voluntary Liquidation with a HMRC tax liability totalling £165,861 approx.
