Between 6 August 2021 and 20 August 2021, Dean Mark McGuire (“Mr McGuire”) caused Link 2 Recruit Ltd (“Link”) to make payments in respect of “bonuses” totalling £289,831 to the benefit of himself, his co-directors and three members of the directors’ families, which were to the risk and ultimate detriment of Link’s creditors, at a time when he knew that HMRC had denied VAT inputs claimed by Link of £2,366,544 which would make Link insolvent, in that: On 24 July 2021, following an investigation by HMRC, Link was notified that it would be de-registered for VAT with effect from 24 June 2021 and that £2,366,544 of VAT inputs were denied, resulting in this liability falling due for immediate payment. However, no payments were made towards this liability. Link’s SAGE records for July 2021, show that Link had total net assets of £471,298, excluding the input VAT denied by HMRC. On 6 August 2021, Mr McGuire caused Link to pay himself a bonus of £100,000 and to pay bonuses totalling £150,000 to his co-directors. On 20 August 2021, Mr McGuire caused Link to pay bonuses totalling £39,831 to three members of the directors’ families. No bonuses had been paid in recent years and it was not usual practice for the company to make bonus payments. Link ceased trading on 31 August 2021 at the latest. At liquidation on 23 September 2021, total liabilities were £3,482,748 of which £2,366,544 was in respect of the disallowed VAT, £710,417 was in respect of other VAT liabilities, RTI/PAYE and Corporation Tax and £405,787 was owed to other creditors.
