Mr Haslen Matthew Back (“Mr Back”) failed to ensure Alchemie S&P Limited (“Alchemie”) maintained or preserved adequate accounting records for the period 1 July 2018 onwards or, in the alternative, from 9 March 2020 onwards failed to deliver up such records as were held to the liquidator, in that: On 25 September 2019 Mr Back authorised company accounts for the period ending 30 June 2019 and, in so doing, acknowledged his responsibilities under the Companies Act 2006. On 18 October 2019 Alchemie filed accounts with the register of companies for the period ending 30 June 2019. Mr Back has represented that records were maintained but cannot be delivered up because of a laptop failure in February 2019. Mr Back also represented that all records were held on an Excel spreadsheet that if it had of been delivered up would not have been adequate accounting records in any case. On 9 March 2020 Alchemie entered voluntary winding up. Between 9 March 2020 and 21 July 2021 at least 4 requests have been made to Mr Back to deliver up all records held but this was not done. Detriment Arising from lack of records (1 July 2018 to 30 June 2019) As a result of the director’s failure no records or other supporting documentation are available to explain, verify or assess whether legitimate any transactions for the period. concerns have been raised with the OR that the 30 June 2019 accounts were false and not reflective of the company’s genuine financial position but the absence of records impedes the ability of the liquidator to consider this issue. Compared with the previous financial period the accounts that were filed show significant changes in position in the period which cannot be verified. The turnover in the filed accounts for the period 1 July 2018 to 30 June 2019 of £10,149,897 differ substantially from the total turnover in the bank accounts of £1,778,584. Other consequences of the director’s failure to ensure that the company preserved adequate accounting records and/or in the alternative failed to deliver up to the Official Receiver such records are the following: It is not possible to establish the correct VAT, PAYE and CT liability position at liquidation. Detriment Arising from lack of records (1 July 2019 to Liquidation) As a result of the director’s failure no records or other supporting documentation are available to explain, verify or assess whether legitimate any transactions for the period. As at 30 June 2019 company accounts reported current assets of £5,409,857 but the liquidator is unable to identify whether these assets existed, where these assets now are, whether they have been disposed, or account for these assets with full accounting records. Other consequences of the director’s failure to ensure that the company preserved adequate accounting records and/or in the alternative failed to deliver up to the Official Receiver such records are the following: It is not possible to establish the correct VAT, PAYE and CT liability position at liquidation. It is not possible to establish the reason for the company’s deficiency or insolvency.
