On 09 January 2020 Howard Nigel Sharpstone (“Mr Sharpstone”) caused MAPCO Investments Ltd (“MAPCO”) to enter into a transaction which was to the detriment of its creditors and from which he benefitted personally, in that: • MAPCO was incorporated on 07 August 1958 and Mr Sharpstone was appointed as a director on 09 February 1982 and became the sole director from 27 November 2006 until the date of liquidation; • MAPCO owned an investment property which was sold for £3,150,000 on 10 July 2019. The sale generated a CT liability of £140,989 which was due for payment on 01 January 2021. • On 08 January 2020 Mr Sharpstone owed MAPCO at least £2,706,181 in respect of an overdrawn director’s loan account and MAPCO had 4 creditors; the accountant, HMRC and 2 associated companies, totalling £1,597,202. • On 09 January 2020 at 11:05 MAPCO transferred £80,000 to Mr Sharpstone’s personal account, 25 minutes before his pre-appointed telephone meeting with the liquidator. • At the meeting with the Insolvency Practitioner on 09 January 2020 Mr Sharpstone advised that there was a debt for CT of £140,989. • MAPCO entered insolvent liquidation on 31 January 2020. The Statement of Affairs signed by Mr Sharpstone on 28 January 2020 stated MAPCO’s only realisable asset was cash at bank of £58,122. This figure is taken from the bank statement on 15 January 2020. • On 04 February 2020 Mr Sharpstone was made bankrupt on a petition from HMRC which had been presented on 19 December 2019.
