Between 21 February 2017 and 29 March 2017, Mr Russell James Newark (“Mr Newark”) failed to exercise adequate control of CAL Agriculture Limited (“CAL”) in that he was knowingly appointed as the sole director of CAL but allowed a previous director to continue running CAL without adequate supervision, monitoring or input. As a result of this it has not been possible to: • Verify who had control of the affairs of CAL throughout the period 21 February 2017 to 29 March 2017; • Establish the full nature of CAL’s trading activities in the period 21 February 2017 to 29 March 2017 and whether these were connected with a genuine trading purpose; • Establish the validity of the VAT assessments totalling £175,915.14 raised by HM Revenue & Customs (“HMRC”) in respect of the trading conducted by CAL in VAT period 02/17 and the final VAT period; • Determine, with any accuracy, the income and expenditure of CAL for the period of its trading after 21 February 2017. This includes, but is not limited to the expenditure of £413,726.55 cash withdrawn from CAL’s bank account; • Account for any acquisition or subsequent disposal of assets by CAL; • Establish the level of remuneration or other benefits taken by Mr Newark.
