Dr Mario Luca Russo ('Dr Russo') failed to ensure that The Rejuvenation Medispa Limited ('TRM') maintained and/or preserved adequate accounting records for the period 01 December 2016 to 12 September 2018, or in the alternative, if such records were maintained and/or preserved, he has failed to deliver them up. In that: • TRM commenced trading in November 2015 and its last accounts filed were to 30 November 2016; • He provided some of TRM’s records consisting of 224 pages as exhibited to his first Affidavit; • Without all adequate records it has been possible to: • explain income of £222,836 shown in the bank statements from 01 December 2016, or verify that this was all the money due to TRM; • determine the reason for transfers into the account from 2 associated companies which total £161,788; • determine whether any debtors were outstanding at the liquidation date; • account for payments out of the account totalling £373,167 and verify that these were all legitimate Company expenditure, or were accounted for in a director's loan account; • explain the reasons for payments to 2 associated companies totalling £311,980; • establish the nature and extent of any trading between TRM and associated companies; • verify the amount shown in the statement of affairs of £60,000 described as an inter-company loan, which is not supported by the available information; • establish the amounts due to trade and expense creditors and verify that all such creditors have been disclosed in the liquidation; • establish the amount drawn by him; • Verify the trading and causes of failure as stated by him in the report to creditors. Dr Mario Luca Russo (‘Dr Russo’) failed to ensure that The Rejuvenation Medispa Limited (‘TRM’) dealt properly with its tax affairs and as a consequence caused it to trade to the detriment of HM Revenue & Customs ('HMRC') from at least 22 December 2015 when PAYE/NIC for November 2015 became due, to its liquidation on 12 September 2018. As a consequence HMRC have submitted a claim in the liquidation of £121,755. In that: • returns submitted by TRM show that PAYE/NIC was due from November 2015, which should have been paid by 22 December 2015; • no payments were made to HMRC throughout and at the liquidation date £121,755 was due for PAYE/NIC dating from 2015/16; • at the date of the last accounts to 30 November 2016; £26,140 was due to HMRC, other creditors were £9,595 and associated companies were owed £38,289; • by the liquidation date HMRC was owed £121,755, the statement of affairs shows trade and expense creditors of £23,000 and an unverified debt to an associated company of £60,000; • bank statements show payments of £650,617 from 01 December 2016, of which £311,980 was transferred to associated companies and no payments were made to HMRC.
