Mr Philip Edward Jackson (“Mr Jackson”) failed to ensure that Jackson & Sons Limited (“JSL”) maintained and/or preserved adequate accounting records from at least 01 October 2018 to 27 August 2019, the date of liquidation, or in the alternative, he has failed to deliver them up to the Liquidator. As a result, it has not been possible to: a) Confirm what happened to tangible fixed assets held by JSL at 30 September 2018, in particular vehicles valued at £22,965, including whether JSL has received any proceeds at fair value, or to determine the company’s true asset position at liquidation; b) Determine the purpose of cash withdrawals totalling £61,485 from JSL’s bank account, between 15 March 2019 and 26 July 2019, or to verify that these payments were legitimate company transactions; c) Determine the purpose of payments made by JSL, or to verify that payments were legitimate company transactions, in particular payments totalling at least £49,475 to connected parties; d) Determine the use made of funds due to JSL of at least £93,080, diverted to an account held by a 3rd party, or to verify that these sums were used for legitimate company purposes; e) Determine JSL’s true outstanding liabilities to HM Revenue & Customs (“HMRC”) in respect of Value Added Tax (“VAT”), Pay As You Earn Income Tax (“PAYE”), National Insurance Contributions (“NIC”) and Construction Industry Scheme Tax (“CIS”). Mr Jackson caused JSL to make payments to connected parties totalling £59,475 between 22 July 2019 and 23 August 2019, when he knew or should have known that JSL was insolvent, to the detriment of JSL’s general body of creditors. A) On 20 June 2019 a creditor obtained a County Court Judgment against JSL for £33,206, which remained unpaid at liquidation; b) JSL ceased to trade on 06 August 2019; c) On 22 July 2019 JSL made a payment to a member of Mr Jackson’s family in the amount of £14,500; d) On 22 July 2019 and on 15 August 2019 JSL made payments to Mr Jackson in the amount of £5,000; e) On 23 July 2019 and 23 August 2019 JSL made payments to another company of which Mr Jackson was director in the amounts of £21,875 and £13,100 respectively; f) JSL’s entered into liquidation on 27 August 2019. JSL’s Statement of Affairs in liquidation shows creditors totalling £134,029 and a deficiency to creditors of £133,829.
