Thomas Richard Reynolds caused TOAOTR LIMITED (“Toaotr” or “the company”) to fail to comply with its statutory obligations to pay Corporation Tax and the penalties and interest which accrued on the outstanding amounts from, at the latest, 1 October 2013, and to submit returns as required from at least 1 October 2016, and caused the company to continue to trade to the detriment of HMRC during this period, in that: ? According to the winding up petition, Corporation Tax relating to the periods ended 31/12/2012, 31/12/2013, 31/12/2014, 31/12/2015 and 31/12/2016 was outstanding at the date of liquidation. These liabilities were incurred and built up while I was the sole director of the company. ? HMRC was the petitioning creditor and petition shows the following Corporation Tax in accordance with the tax returns filed by the company: 31/12/2012 - £7,907.75 of which only £4,010.00 was paid. Due 1 October 2013. 31/12/2013 - £22,374.00, none paid. Due 1 October 2014. 31/12/2014 - £28,468.25, none paid. Due 1 October 2015. No further returns were submitted and HMRC raised Corporation Tax determinations for the following periods: 31/12/2015 - £19,000, none paid. Due 1 October 2016. 31/12/2016 - £22,000, none paid. Due 1 October 2017. Differential treatment of HMRC / Comparison to other creditors HMRC filed a claim in the liquidation in the amount of £109,035, and the debt had built up since, at the latest, 1 October 2013 when Corporation Tax for the period ended 31/12/2012 became due. The only other stated liabilities are the bank in the amount of £2,991 and a connected company in the amount of £8,000. The unaudited financial statements for the year ended 31 December 2016 show that between that date and Liquidation, the amount owed to other creditors has reduced from £127,513 to £10,991. The amount shown as due in respect of Corporation Tax in the accounts as at December 2016 was £109,524 compared to £109,035 claimed at Liquidation. The claim only includes a penalty of £1,000 for the periods after December 2016, whereas available bank statements show for the year ended December 2018, the company had income of £238,303 compared to turnover of £183,131 in year end December 2015 and £175,744 in year end December 2016 when Corporation Tax of £21,070 and £23,707 was due respectively, according to the accounts. The financial statements filed at Companies House show that I received dividend payments in the period from 1 January 2014 to 31 December 2016 totalling £180,000. Available bank statements for the period 01 December 2017 to 26 June 2019 show that payments of £277,125 were paid from Taootr’s bank account, of which I received net payments of £145,732 and no payments were made in respect of Corporation Tax.
