Robert Ranson (“Mr Ranson”) caused Best Electrical Europe Limited (“Best Electrical”) to trade to the detriment of HM Revenue and Customs (“HMRC”) in respect of Value Added Tax (“VAT”) from 07 February 2018 the date by which Best Electrical’s VAT liabilities for the period ended 31 December 2017 were due for payment, onwards; In that: VAT • Best Electrical registered for VAT with effect from 01 December 2012; • Best Electrical submitted a VAT return for the period ended 12/17 in the sum of £47,194 that should have been paid in full by 07 February 2018; • Between 07 February 2018 and 13 September 2018 Best Electrical made 7 payments totalling £65,039 which was allocated by HMRC against the liability for 06/17 (paid in full), 09/17 (paid in full) and £15,039 allocated against the liability for 12/17; • Best Electrical made no further payments against the liability for VAT and as at the date of liquidation £32,156 remained outstanding in respect of the period 12/17; • Best Electrical submitted VAT returns for the periods ended 03/18 (£36,673) and 06/18 (£33,484) both of which remained unpaid at liquidation; • On 11 June 2018 HMRC agreed a Time To Pay Agreement (“TTP”) requiring the company to pay £10,185 per month for 12 months to repay the arears while maintaining current liabilities. The TTP failed in October 2018; four payments of £10,185 were made under this agreement. • With effect from July 2018 Best Electrical was required to submit monthly returns. Best Electrical submitted monthly returns for the period 07/18 to 05/19 in the total sum of £166,062 all of which remained unpaid at liquidation; • HMRC agreed a further TTP in January 2019, however Best Electrical made no payments whatsoever in respect of this agreement; • On 28 May 2019 HMRC issued a Winding up Petition against Best Electrical in the total sum of £392,491 in respect of outstanding liabilities for VAT and PAYE/NIC; • HMRC’s claim in respect of VAT amounts to £317,877 (including surcharges) of which £12,388 post dates liquidation. Different treatment • A comparison of liabilities at 31 December 2017 per the year end accounts and at liquidation shows that liabilities to HMRC increased from £131,483 to £457,777 whilst liabilities to other classes of creditor decreased from £381,834 to £197,071; • Between 03 February 2018 and 04 July 2019 Best Electrical expended £2,168,058 from the company bank account of which only £65,039 was to HMRC in respect of the liability for VAT; • Total liabilities at liquidation are £654,848 of which £457,777 is owed to HMRC of which £305,499 is in respect of VAT (including surcharges), £143,280 is in respect of PAYE/NIC and £8,998 is in respect of Corporation Tax.
