Stephen James (“Mr James”) failed to ensure that Green Energy UK Direct Limited (“GEUK”) maintained and/or preserved adequate accounting records, or in the alternative, failed to deliver up to the Liquidator such records as were maintained, with the consequence that it has not been possible to determine: • How a £750,000 loan obtained on 14 October 2015 in the name of GEUK by Mr James was utilised and whether GEUK received any benefit from this loan. The loan proceeds were paid into the bank account of a connected company of an associated company which was connected to GEUK in that it had shared directors via 2 instalments of £375,000 each on 14 October 2015 and 21 December 2015 and no repayments were made against this loan. • What income GEUK received since 01 October 2015, the period after the last draft accounts, and how that was used. • The position of GEUK’s shareholding in associated companies, whether it received dividend payments it was entitled to since 01 October 2015, and if so how any such funds were used. • Whether GEUK had any book debts at Liquidation, which in the last set of available draft accounts for the year ended 30 September 2015 were recorded at £1,325,066. • The position of the director loan accounts at Liquidation which in the last set of available draft accounts for the year ended 30 September 2015 totalled £143,874. • The date that GEUK ceased to trade.
