Between February 2015 and December 2017 Teresa Elizabeth Mason (“Mrs Mason”) allowed Gerard Dowling to act in the management of No Reservations Limited (“No Reservations”) whilst he was undischarged from bankruptcy: • Mrs Mason was appointed as a director of No Reservations on 17 February 2015 and remained in office until the date of liquidation; • No Reservations traded under the style “Raglan Road Irish Bar” from February 2015 until December 2017, having previously traded using a different name under other directors; • a bankruptcy order was made against Gerard Dowling on 18 August 2006 and he remains undischarged and subject to the restrictions of bankruptcy as a result of an order of court dated 18 May 2007; • Although not registered at Companies House as a director Gerard Dowling acted in the management of No Reservations without the permission of the court. Mrs Mason has failed to preserve or deliver up adequate accounting records for No Reservations to the liquidator. No Reservations’ bank statements show payments and withdrawals of £438,311 between 1 December 2016 and 20 December 2017 but, as a result of the failure to deliver up the trading records, it has not been possible to verify: • what No Reservations’ sales were during the period of trading or whether it received the proceeds of all its sales; • whether all the payments shown in No Reservations’ bank statements were made in respect of No Reservations’ own affairs and liabilities or whether No Reservations received full consideration for all the payments it made; • whether No Reservations made any other payments that were not shown in the bank statements and whether any such were made in respect of its affairs and liabilities or for full consideration; • whether any money is still owed to No Reservations that could be collected by the liquidator; • whether No Reservations’ liabilities have been properly disclosed to the liquidator; • how cash of £18,810 withdrawn from the company’s bank account in the period was spent; • why £136,623 was paid out of the company’s bank account to Gerard Dowling and a third party in the period; • whether Mrs Mason or anybody else involved with the company has received any untaxed income from No Reservations that has not been declared to HMRC.
