Improper conduct which resulted in their disqualification
Gareth Mellor (‘Mr Mellor’) caused or allowed A Word in Your Shell-Like Ltd (‘AWYSL’) to make misleading and/or unfounded statements to customers, resulting in funds being paid to AWYSL for which no service was offered. In addition funds that were recovered were not paid over to customers as specified. In that AWYSL stated to potential customers that it could recover debts outstanding to them for a subscription fee plus commission. The following misleading statements were made: That creditors (customers) could pursue the directors of a company in liquidation under S213-216 of the Insolvency Act 1986 for a compensation order, if a company can be shown to have traded wrongfully, whilst insolvent, or fraudulently, when such a remedy is only open to insolvency office holders; That debts owed by companies in Liquidation had been assessed by AWYSL’s legal department as being recoverable due to fraudulent trading, when AWYSL did not have a legal department; That AWYSL were in possession of information to secure settlements without recourse to Liquidators by issuing personal statutory demands in bankruptcy; That customers would be offered a full refund of registration fees paid within 120 days if AWYSL was not successful in securing collections; In addition between 31 May 2019 and 23 May 2020, AWYSL made recoveries on behalf of at least three customers totalling £38,618, which were not remitted to the customers and were not safeguarded by AWYSL and as a result are not available to the customers following liquidation.
