Notice is hereby given that:
(1) Portman Insurance PLC, a public limited liability company
incorporated in England under number 00145491 whose registered
office is at Brooke Lawrance House, 80 Civic Drive, Ipswich, IPI 2AN
United Kingdom (“Portman PLC”); and
(2) Portman SA, a public company with limited liability incorporated in
France under number 820 406 262 R.C.S Paris having its seat at 39,
rue du Colisée, 75008 Paris, France (“Portman SA”),
intend to form a European Company pursuant to Articles 2(1) and
17(2)(a) of Council Regulation (EC) No. 2157/2001 of 8 October 2001
(the “SE Regulation”).
The name of the European Company will be Portman Insurance SE
(“Portman SE”) and its registered office will be in the United Kingdom

formation of Portman SE will occur in consequence of a merger
between Portman PLC and Portman SA under which Portman PLC
will acquire all the assets and liabilities of Portman SA under universal
succession of title and subsequently be re-registered as a European
Company in the United Kingdom.
In accordance with Article 21 of the SE Regulation, the constitutional
documents, annual accounts and other documents referred to in
Article 3(3) of Directive 2009/101/EC (formerly Article 3(2) of Directive
68/151/EEC) are filed:
(1) in relation to Portman PLC, with the Registrar of Companies, at
Companies House, Crown Way, Maindy, Cardiff, CF14 3UZ (https://
www.gov.uk/government/organisations/companies-house), under
company registration number 00145491; and
(2) in relation to Portman SA, with the Register of Commerce and
Companies of Paris, Greffe du Tribunal de Commerce de Paris, 1 quai

Portman PLC will present two applications to the High Court of
England and Wales pursuant to the SE Regulation: first, an application
under Article 25 of the SE Regulation for a certificate conclusively
attesting to the completion by Portman PLC of the necessary pre-
merger acts and formalities; and second, an application under Article
26 of the SE Regulation for an Order sanctioning the merger and the
re-registration of Portman PLC as Portman SE.
Portman PLC intends for the Article 25 application to be heard before
a Registrar and the Article 26 application to be heard before a Judge
of the Chancery Division at The Rolls Building, 7 Rolls Buildings,
Fetter Lane, London EC4A 1NL. The Article 25 application is expected
to be heard on or after 11 November 2016 and the Article 26 hearing
is expected to be heard on or after 18 November 2016.
Any person who wishes to make representations in relation to the
merger or the re-registration may either:
(1) make written representations to Hogan Lovells International LLP

(2) appear at the time of the hearings for the applications in person or

“Plan”) gives notice under section 27 of the Trustee Act 1925 to all

INTRODUCTION OF THE ULTRA LOW EMISSION ZONE IN APRIL
TRANSPORT FOR LONDON, as the charging authority, hereby gives
notice that it has made an Order under Schedule 23 to the Greater
London Authority Act 1999 entitled the Greater London Low Emission
Zone Charging (Variation and Transitional Provisions) Order 2017 (“the
ULEZ Acceleration Order”).
The ULEZ Acceleration Order amends the current Low Emission Zone
Charging Scheme Order 2006 (“the LEZ Order”). The LEZ Order has
been subsequently varied by further Orders made by TfL and
confirmed by the Mayor of London. In particular the LEZ Order was
varied by the Greater London Low Emission Zone Charging (Variation
and Transitional Provision) Order 2014 (“the ULEZ Order”) to provide
for the creation of the Ultra Low Emission Zone (ULEZ) covering an
area of central London contiguous with the central London
Congestion Charging Zone. The ULEZ Order was made by TfL on 22
October 2014 and confirmed by the Mayor on 23 March 2015 with
modifications. As confirmed, the ULEZ Order provides for particular
vehicle emission standards, linked to stated Euro Standards, (“the
ULEZ emission standards”) and for associated road user charges
(“the ULEZ charges”) to apply to vehicles used within the ULEZ area
(other than taxis) that are not -compliant with ULEZ emissions
standards ( to apply 24 hours a day, 365 days a year). The ULEZ
emission standards and charges are to commence on 7 September
2020. It also provides for a three year “sunset period” discount for
vehicles of residents of the ULEZ area from that date.
The general nature and effect of the ULEZ Acceleration Order is to
make the following proposed changes:
(1) To introduce ULEZ emissions standards and charges on 8 April
2019 instead of 7 September 2020 (around 18 months earlier).
(2) To change the approved ULEZ emission standards to provide for
the inclusion of a standard for the emission of Particulate Matter
(PMs) from diesel vehicles linked to stated Euro Standards.
(3) To maintain the three year sunset period for residents’ vehicles so
that it operates from 8 April 2019 (the new commencement date) until
8 April 2022.
(4) Transitional or consequential provision and savings in connection
with or related to the above.
Transport for London invites the making of representations on, or
objections to, the proposed changes.
Any objections and representations that are submitted must be made
in writing, specifying the grounds on which they are made, and be
received by Transport for London by 25 June 2017.
