A composite guarantee dated 17 july 2026 (the “agreement”). The amount secured is all monies and liabilities for the time being due owing or incurred to unity by each borrower whether actually or contingently and whether solely or jointly with any other person and whether as principal or surety and including, without limitation, interest at such rate or rates and in such manner as may be charged by unity to a borrower from time to time, and all legal and other costs and expenses (on a full indemnity basis) incurred by unity in the course of its business in respect of preserving, defending or enforcing any liabilities or obligations against a borrower.note by clause 10.2 of the agreement, each of the guarantors in addition to any lien or right to which unity may be entitled by law, unity may from time to time without notice and both before and after demand set off the whole or any part of a guarantor's liability to unity under this guarantee against any deposit or credit balance on any account of that guarantor with unity (whether or not that deposit or balance is due to that guarantor). “Borrower” means each company listed in schedule 2 (the “borrowers”) to this guarantee and together the "borrowers". “Guarantee” means the guarantee and indemnity contained in clause 1 of the agreement (and any corresponding provision in any deed supplemental to the agreement). “Guarantor” means each company listed in schedule 1 (the “guarantors”) to this guarantee and together the "guarantors" to this guarantee;. “Unity” means unity trust bank PLC;.
