SICAV- FIS (the "Transferor") has transferred its entire interest in the Partnership to Stafford Infrastructure Secondaries SMA 1 LP (the "Transferee"). As a result, the Transferor has ceased to be a limited partner in the Partnership, and the Transferee has become a limited partner in the Partnership. (the "Partnership"), a limited partnership registered in the United Kingdom with registration number LP012276, to Keats 505, L.P. which has been admitted as a limited partner in the Partnership.
