The chargor, as continuing security for the payment, discharge and performance of all the secured obligations in relation to all of the following assets whether now or in future belonging to the chargor hereby, in each case with full title guarantee:. (A) fixed charges: charges to igf by way of separate fixed charges:. (I) by way of legal mortgage each property specified in schedule 1;. (ii) by way of equitable mortgage its real property, other than the property or properties specified in schedule 1;. (iii) all its plant and machinery listed in schedule 2 and the benefit of all its rights and claims against any person in respect of the design, construction, repair or replacement of the same;. (Iv) all its plant and machinery other than that listed in schedule 2 and the benefit of all its rights and claims against any person in respect of the design, construction, repair or replacement of the same;. (V) all its goodwill, unpaid and/or uncalled capital;. (Vi) all its intellectual property listed in schedule 3;. (vii) all its intellectual property other than that listed in schedule 3 and the benefit of all its rights and claims against any person in respect of the design, construction, repair or replacement of the same;. (Viii) all its securities;. (Ix) all loan capital, indebtedness or liabilities on any account or in any manner owing to it from any member of the chargor’s group;. (xi) all its documents of title which at any time and for any purpose have been or may be deposited with igf and the property mentioned in such documents;. (Xii) all of its non-vesting debts to the extent not effectively assigned by way of security under clause 3.1(c);. (Xiii) all related rights pertaining to its non-vesting debts;. (Xiv) all of its other debts;. (Xv) all related rights pertaining to its other debts;. (Xvi) all monies in the accounts specified in clause 4.2(a) and in any other account in the name of the chargor under the control of or operated in accordance with the directions of igf.

Prefequity LLP

All real property (as defined in the instrument) vested in, or charged to, the company, but excluding any leasehold property which the company is not permitted to charge without the landlord's consent, such consent having been sought (but not obtained) by the company in accordance with the terms of the instrument.
