During a period of nine months, starting on 26 May 2015 and ending on 25 February 2016 (the “surrender period”), bearers of share warrants in the Company (“Share Warrants”) have the right to surrender their Share Warrants for conversion into registered shares and have their name entered as members in the Company’s Register of Members. Any Share Warrants which were not surrendered during the first seven months of the surrender period became non-transferable. All other rights attached to them (including any voting rights, and any right to receive a dividend or other distribution) were suspended. The Company must pay all subsequent dividends and other distributions attached to those Share Warrants into a separate interest bearing bank account. In the case of the Share Warrant representing the Preferred Securities, no scheduled dividend payment date has fallen, or will fall within the final two months of the surrender period. The right to surrender Share Warrants will cease to be exercisable at the end of the surrender period. Within three months thereafter, the Company must apply to court for an order cancelling any Share Warrants remaining, and the related shares. If the court is satisfied that the Company has fulfilled the statutory notice requirements during the surrender period, it will make a cancellation order. If it is not satisfied, it will make a suspended cancellation order, and bearers of Share Warrants will have a two- month grace period from the date of the court order in which they can surrender the Share Warrants. On cancellation of the Share Warrants, the Company must pay into court the capital (including share premium) paid up on the shares represented by the Share Warrants, together with the value of any dividends accrued on the shares since the rights attached to them were suspended. The bearers of the Share Warrants at the time the rights were suspended may apply to the court to claim the sum paid in to court in respect of their shares. Such an application may be made between six months and three years after the cancellation date. The court will only make such a payment in the case of exceptional circumstances which prevented the bearer from surrendering the Share Warrant during the surrender period or any subsequent two- month grace period.
