MERCK PERFORMANCE MATERIALS SERVICES UK LIMITED (Company Number 05183093) Registered office: Bedfont Cross, Stanwell Road, Feltham, Middlesex, England TW14 8NX At General Meetings of the Members of the above-named companies, duly convened, and held on 14 September 2018 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution for each of the above companies: Special resolutions 1. ‘THAT the Company be wound up voluntarily.’ 2. ‘THAT, in accordance with the provisions of the Articles of Association, the Joint Liquidators be and are hereby authorised to: (a) Distribute to the sole member of the Company in specie the whole or any part of the assets of the Company.
