restoration of Philip Politi Properties Limited, a company incorporated
under the Companies Acts (Company Number SC259288) and having
its registered office at 22 Avon Place, Edinburgh EH4 6RS, to the
Register of Companies in terms of Section 1031 of the Companies
Act 2006. Any person intending to show cause why the prayer of the
Petition should not be granted, should lodge Answers in the hands of

NOTICE IS HEREBY GIVEN that, on 27 April 2017, an application was
presented to Her Majesty’s High Court of Justice by Friends Life
Limited (formerly known as Precis (1941) Limited and Friends
Provident Life and Pensions Limited) (“FLL”), Friends Life and
Pensions Limited (formerly known as London and Manchester
(Pensions) Limited, Friends Provident Corporate Pensions Limited and
Friends Provident Pensions Limited) (“FLP”), Aviva Investors Pensions
Limited (formerly known as Norwich Union Pensions Management
Limited and Morley Pooled Pensions Limited) (“AIPL”), Aviva Life &
Pensions UK Limited (formerly known as Norwich Union Life &
Pensions Limited) (“UKLAP”) and Aviva Pension Trustees UK Limited
(formerly known as Norwich Union Pension Trustees Limited)
(“UKPTL”) for an order under Sections 111 and 112(1)(d) of the
Financial Services and Markets Act 2000 (the “Act”) sanctioning a
scheme (the “Scheme”) for the transfer of: (i) the long term insurance
businesses of FLL and FLP, including all of their policies, assets and
liabilities (other than those to be transferred to UKPTL) to UKLAP, (ii)
the in-force annuity business of AIPL, to UKLAP; and (iii) all of FLP’s
assets and liabilities arising in connection with the carrying out of its
function as the scheme administrator and scheme operator in relation
to the Flexible Retirement Account provided by it to UKPTL.
Parallel schemes are being effected in Jersey and Guernsey to
transfer policies relating to those jurisdictions or otherwise to comply
with local law.
Copies of the full Scheme document, the full report prepared in
accordance with Section 109 of the Act on the terms of the Scheme
by Mr David King (an Independent Expert, whose appointment was
approved by the Prudential Regulation Authority, following
consultation with the Financial Conduct Authority) and letters sent to
interested parties enclosing policyholder booklets containing a
summary of the Independent Expert’s Report and a summary of the
Scheme may be obtained, together with other relevant information, by
any person free of charge by contacting FLL, FLP, AIPL, UKLAP or
UKPTL as set out below or by visiting www.friendslife.co.uk/
transfer2017 or www.aviva.co.uk/transfer2017, until the making of an
order sanctioning the Scheme.
The application is directed to be heard before a Judge of the
Companies Court at the Rolls Building, 7 Rolls Buildings, Fetter Lane,
London, EC4A 1NL, on 13 September 2017. If approved, the transfer
will become effective at 00.01a.m. (London time) on 1 October 2017.
Any person, including an employee of FLL, FLP, AIPL, UKLAP or
UKPTL, who alleges that they may be adversely affected is requested
(but not obliged) to provide reasons why they consider they may be
adversely affected and, if appropriate, notice of their intention to
appear at the hearing, to the designated PO Box address below
which has been created for the purpose of the Scheme, or by calling
the telephone number below, not less than five working days before
the hearing. Any person, who alleges that they may be adversely
affected by the carrying out of the Scheme may appear at the hearing
in person or by counsel or solicitor advocate.
