The borrower with full title guarantee charges, by way of a first legal mortgage, all estates or interests in any freehold, leasehold or commonhold property now owned by it, including the real property (if any) specified in schedule 1 being: (1) unit K2 and yard, kingston business park, kingston bagpuize, abingdon, oxfordshire, OX13 5AS, (2) the old school house and the old school, abingdon road, kingston, bagpuize, OX13 5AR, (3) the granary, the courtyard, kingston house estate, kingston bagpuize, oxfordshire, OX13 5AX and (4) the malt house, kingston house estate, kingston bagpuize, OX13 5AX. As a continuing security for the payment and discharge of the secured liabilities, the borrower with full title guarantee charges by way of a first fixed charge: all present and future estates or interests of the borrower in, or over, any freehold, leasehold or commonhold property (other than any such property effectively mortgaged under clause 3.2); and all the intellectual property, including but not limited to the intellectual property set out at schedule 3 – intellectual property being: the registered trademarks as summarised in the attachment hereto, together with various unregistered intellectual property including copyright and (where applicable) database rights in the various components of siyte including:. A. the computer software (both object code and source code), databases, logic, rules, flow charts, algorithms, routines, sub-routines, utilities, modules, file structures, coding sheets and programming notes, technical, functional and other specifications and other materials and documents relating to siyte and necessary for its normal operation as a whole and its support and maintenance;. B. the visual aspects of siyte, in terms of the get-up, lay-out and ‘look and feel’ of the dashboard; and. C. the data that siyte collects and also visualises..
