Quiddity wolf LTD (hereinafter defined as the “chargor”) hereby: charges absolutely to the film finances international llc (the “guarantor”) all present and future rights, title and interest of the chargor of and in the “film” and in the “script” (as those terms are defined in the deed instrument dated 29TH august 2025 (the “deed”)) and all other written and musical matter embodied or to be embodied or used in the film or acquired in connection with its production and the negative and prints thereof and all rights of representing, exploiting and exhibiting the same; and charges absolutely to the guarantor all present and future interest and rights of the chargor in the “co-production agreement” and all other present and future agreements entered into by the chargor in connection with the production of the film and in the “financing agreements” (as those terms are defined in the deed); charges in favour of the guarantor with the payment and discharge of the “secured sums” (as that term is defined in the deed) by way of first fixed charge all present and future property acquired for the production of the film; and charge in favour of the guarantor with the payment and discharge of the secured sums by way of first floating charge the whole of the chargor’s undertakings and assets, wheresoever and whatsoever, present and future (but solely to the extent they relate to the film), other than any assets for the time being effectively assigned or charged to the guarantor pursuant to the previous sub-clauses of this clause or otherwise howsoever.
