In the Matter of SCOTTISH EQUITABLE PLC Company Number: SC144517 NOTICE IS HEREBY GIVEN THAT, on 16 October 2020, in an application by Scottish Equitable PLC (the "Company"), a public company incorporated under the Companies Act and with its registered office at Aegon Lochside Crescent, Edinburgh Park, Edinburgh, Scotland, EH12 9SE, an order was pronounced by the Court of Session, Edinburgh, (the "Court") confirming the reduction of the Company’s share capital, which was approved by special resolution passed at general meeting of the Company held on 28 August 2020. A certified copy of that order was registered by the Registrar of Companies in Scotland on 19 October 2020, together with a statement of capital approved by the Court, under section 649(3)(b) of the Companies Act 2006. In the Matter of SCOTTISH EQUITABLE PLC Company Number: SC144517 PETITION FOR CONFIRMATION OF A REDUCTION OF CAPITAL PURSUANT TO CHAPTER 10 OF PART 17 OF THE COMPANIES ACT 2006 NOTICE IS HEREBY GIVEN THAT, on 7 September 2020, a petition (the "Petition") was presented to the Court of Session, Edinburgh, Scotland (the "Court") by Scottish Equitable PLC, a public company incorporated under the Companies Acts and with its registered office at Aegon Lochside Crescent, Edinburgh Park, Edinburgh, Scotland, EH12 9SE (the "Company"), seeking an order for confirmation of the reduction of its share capital by reducing the nominal value of each of its ordinary shares of £1.00 by £0.99 to £0.01 (the "Reduction"), which was resolved upon by special resolution passed at a general meeting of the Company held on 28 August 2020. Following presentation of the Petition, an order was pronounced by the Court: (i) that the Petition be advertised once in The Edinburgh Gazette, The Scotsman, and the Financial Times (UK edition) newspapers; and (ii) that any party claiming an interest in the Petition lodge written Answers to it within 21 days of the last of those advertisements. Any such person may wish to seek independent legal advice. In accordance with its practice, the Court is also likely to consider any other objections which are made to it, in writing or in person, at the hearing of the Petition to confirm the Reduction. That hearing is expected to take place at the Court on 16 October 2020.
