WHEREAS SMITH ELECTRICAL & SECURITY CONTRACTORS LTD (formerly Scotia Electrical & Security Contractors Ltd), a company incorporated under the Companies Acts under Company number SC324756 was dissolved on 28 August 2014; AND WHEREAS in terms of section 1012 of the Companies Act 2006 all property and rights whatsoever vested in or held on trust for a dissolved company immediately before its dissolution are deemed to be bona vacantia ; AND WHEREAS immediately before its dissolution the said Smith Electrical & Security Contractors Ltd was the Tenant under the Lease between Enterprise Zone Developments Limited and Jaconet Investments Limited dated 1 May and 11 June and recorded GRS Angus and registered in the Books of Council and Session on 17 July all 1990 of ALL and WHOLE Unit I, Scottway, Pearce Avenue, Broughty Ferry, Dundee DD5 3RX by virtue of an Assignation in favour of Scotia Electrical & Security Contractors Ltd (thereafter the said Smith Electrical & Security Contractors Ltd) dated 23 October and 29 November both 2008 and registered in the Land Register of Scotland under Title Number ANG28245 on 9 January 2009, the Landlord’s interest under the said Lease being registered in the said Land Register under Title Number ANG26384; AND WHEREAS the dissolution of the said Smith Electrical & Security Contractors Ltd
