Film Finances Inc

Umo project LTD (the "company") as a continuing security, hereby charges absolutely to film finances inc (the "guarantor") all present and future rights, title and interest of the company of and in the "film" (as that term is defined by the deed instrument between the guarantor and the company dated 18TH december 2023 (the "deed")) and in the "screenplay" (as that term is defined by the deed) and all other written and musical matter embodied or to be embodied or used in the film or acquired in connection with its production and the negative and prints thereof and all rights of representing, exploiting and exhibiting the same; and. Assigns absolutely to the guarantor all present and future interest and rights of the company of and in the "financing agreements" (as that term is defined by the deed) and all other present and future agreements entered into by the company in connection with the production of the film; and charges in favour of the guarantor with the payment and discharge of the "secured sums" (as that term is defined by the deed) by way of first fixed charge all present and future property acquired for the production of the film; and charges in favour of the guarantor with the payment and discharge of the secured sums by way of first floating charge the whole of the company's undertaking and assets, wheresoever and whatsoever, present and future, other than any assets for the time being effectively assigned or charged to the guarantor pursuant to the previous sub-clauses or otherwise howsoever.
