Emma Lloyd breached her fiduciary duty to Elysian Care Limited (“the company”) in allowing company income totalling £507,671 to be paid by a local authority to a bank account not in the control of the company and allowing the abandonment of elderly residents and staff. In that:<br>Remittance advice reports supplied by the local authority to the company record that payments relating to care fees for elderly residents were recorded as made by the local authority to the company totalling £507,671 between October 2012 and October 2014.<br>At the request of the company those payments totalling £507,671 were made to a 3rd party bank account, which was not in the name of the company.<br>Of the £507,671, a total of £291,850 has not been accounted for in the records of the company. The explanations provided by her co-director are unsubstantiated and do not indicate that the funds were utilised for the benefit of the company or the elderly residents of its two care homes.<br>The diversion of this income from the company resulted in non-payment of key suppliers, staff wages and expenses, inadequate maintenance of the care homes and staff having to resort to purchasing supplies for the residents. By September 2014 staff wages needed to be paid by the local authorities to enable care of the residents to continue.<br>During the same period the Care Quality Commission raised concerns in inspection reports that the care to residents was compromised due to the safety and suitability of the care home premises and found that the financial support from the company for the care of the elderly residents was inadequate.<br>By September 2014 at the latest the directors had effectively abandoned the company necessitating the intervention by two local councils to allow continuity of care for the elderly residents.<br>The abandonment of the company resulted in residents having to be re-homed and the appointment of the joint Administrators on 17 October 2014.
