Notice is hereby given that a Petition was presented to the Court of
Session (the “ Court ”) on 21 May 2014 by Wolfson Microelectronics
plc (the “ Company ”), a public limited company incorporated under
the Companies Acts (company number SC089839) with its registered
office at 26 Westfield Road, Edinburgh EH11 2QB, for sanction of a
Scheme of Arrangement (the “ Scheme ”) pursuant to Part 26 of the
Companies Act 2006 (the “ Act ”) between the Company and Scheme
Shareholders (as defined in the Scheme), confirmation of a reduction
of capital by cancellation of the Scheme Shares (as defined in the
Scheme) to be effected as part of the Scheme, and authorisation of
the re-registration of the Company as a private company.
At a meeting held under the authority of the Court on 23 June 2014
(the “ Meeting ”), the Scheme Shareholders voted to approve the
Scheme and, at a general meeting held on the same date, the
Wolfson Shareholders (as defined in the Scheme) passed the related
special resolution which was set out in the Circular referred to below.
Following the Meeting, the Court ordered that the Petition be
advertised once in each of The Edinburgh Gazette, The Scotsman
and the United Kingdom edition of the Financial Times newspapers
and appointed all persons claiming an interest in the Petition to lodge
answers to the Petition, if so advised, at the Court of Session,
Parliament House, Parliament Square, Edinburgh EH1 1RQ within 14
days after the publication of the last of those advertisements.
A copy of a circular (the “ Circular ”) incorporating the Scheme and
the explanatory statement required to be furnished pursuant to
section 897 of the Act has been published and is available on the
Company’s website www.wolfsonmicro.com. The Circular was sent in
advance of the Meeting to the Scheme Shareholders.
The Court hearing to sanction the Scheme is currently expected to be
held on 26 August 2014 at the Court of Session, Parliament House,
Parliament Square, Edinburgh, EH1 1RQ. Any Scheme Shareholder or
other person who considers that he or she has an interest in the
Scheme (each an “ Interested Party ”) and who is concerned that the
Scheme may adversely affect them is entitled to be heard by the
Court, as explained below.
If an Interested Party wishes to raise concerns in relation to the
Scheme with the Court or appear at the Court hearing, he or she
should seek independent legal advice and lodge written answers to
the Petition with the Court at Parliament House, Parliament Square,
Edinburgh, EH1 1RQ within the period of time specified above and
pay the required fee. Written answers are a formal Court document
which must comply with the rules of the Court and are normally
prepared by Scottish counsel.
The Court may consider written objections which are not in the form
of written answers and/or allow an Interested Party who has not
lodged written answers to appear at the Court hearing. Each
Interested Party should note that, although the practice of the Court is
to consider informal objections made in person or in writing, the
decision to do so is entirely at the discretion of the Court, and that the
Court may require an Interested Party to lodge written answers in
order to raise objections to the Scheme and/or appear at the Court
hearing.

1. NOTICE IS HEREBY GIVEN that Westminster City Council on 19th
May 2014 made the above Orders under sections 6, 45, 46, 49 and
124 of and Part IV of Schedule 9 to the Road Traffic Regulation Act
1984, as amended.
2. The general effect of the Orders will be to:
(a) replace 3.8 metres of residents’ parking outside No. 40 Carlton Hill
with double yellow line “at any time” waiting restrictions;
(b) extend the residents’ parking place outside No. 2 Carlton Hill by
4.6 metres and relocate the pay-by-phone parking place at his
location north-eastward;
(c) introduce double yellow line “at any time” waiting restrictions at
the junctions of Carlton Hill and Loudoun Road; and
(d) extend the residents’ parking place on the west side of Loudoun
Road (adjacent to No. 1 Carlton Hill) by 2 metres.
The Order also correct anomalies between on-street line-markings
and current Traffic Orders.
3. The Orders, which will come into force on 27th May 2014 and other
documents giving more detailed particulars of the Orders are available

THE SECRETARY OF STATE FOR TRANSPORT hereby gives notice
that he has made the Orders numbered 1 to 7 above:
1 An Order numbered 1 above under sections 10 and 41 of the
Highways Act 1980 which provides that roads which the
Secretary of State proposes to construct (the “new main road and
slip roads”) along the following routes shall become trunk roads
from the date when the Order comes into force:
a route to connect the A21 Tonbridge Bypass south of
Tonbridge with the A21 Pembury Road west of Pembury;
b four routes from the A21 Pembury Road to and from the
southbound and northbound carriageways of the trunk road
which the Secretary of State proposes to construct at
Fairthorne;
c four routes from the A21 Pembury Road including two
roundabouts to and from the southbound and northbound
carriageways of the trunk road which the Secretary of State
proposes to construct at the Longfield Road / Tonbridge Road
junction at Pembury
2 An Order numbered 2 above under sections 10 and 12 of the
Highways Act 1980 which provides that the length of the A21
Trunk Road to be superseded by the new main road shall cease
to be a trunk road and that the lengths remaining shall be
classified as a classified road from the date on which the
Secretary of State notifies the Kent County Council that the new
trunk road is open for traffic.
3 An Order numbered 3 above under sections 12, 14 and 125 of the
Highways Act 1980, in relation to the new main road and the slip
roads to be constructed by the Secretary of State at Tonbridge,
Fairthorne and Pembury in the County of Kent, which:
(1) Authorises him to :
(a) improve highways,
(b) stop-up highways,
(c) construct new highways,
(d) stop up private means of access to premises, and
(e) provide new means of access to premises
All between Tonbridge and Pembury in the vicinity of the A21 Trunk
Road and the slip roads; and
(2) Provides for the transfer of each new highway to the Kent County
Council as highway authority from the date on which the Secretary of
State notifies them that it has been completed and is open for traffic.
4 Four Orders, numbered 4, 5, 6 and 7 above, under sections 10,
12,14, 41, 125 and 326 of the Highways Act 1980 which revoke:

An Order under sections 10 and 12 of the Highways Act 1980 which
provides that the length of trunk road ceasing to be trunk road is the
length of Fox Valley Way (formerly known as the ‘Steelworks East
Access’) from its junction with the A616 Trunk Road (Stocksbridge
Bypass) to the point where the road becomes a private means of
access (a distance of 140 metres); as shown by heavy black hatching
on Plan: HA/10/NDD/005. This length of road shall be classified as a
‘classified road’ as from the date on which the Order comes into
force. The responsibility for the maintenance of this length of road will
thereafter pass to Sheffield City Council.

bay will be reserved for disabled permit holders use.

THE HARINGEY (CHLDRENS PLAYGROUND) ORDER (NO.2) 2014
1 NOTICE IS HEREBY GIVEN that on the 22nd May 2014 the
Council of the London Borough of Haringey made the above
mentioned Order under Section 29 of the Road Traffic Regulation
Act 1984, as amended.
2 The general effect of the Order will be to:—
(a) (subject to paragraph (b) below) prohibit any vehicle from entering
or proceeding in:—
(i) Clonmell Road, N17, between its junctions with Lismore Road and
Alton Road;
(ii) Alton Road, N17;
• between the hours of 4:00pm and 6:00pm on the last Thursday of
every April, May, June, July, August, September and October.
(b) the Order would not apply to any vehicle requiring access to a
property within the closed section of road providing that vehicle is
travelling at a speed of no more than 5mph and is supervised by an
adult in high visibility clothing.
3 Copies of the Order, which will come into operation on 29th May
2014, of the Council’s statement of reasons for making the Order,
together with plans and more detailed particulars showing the
locations and effects of the Order may be inspected, throughout
the period that it is in force, during normal office working hours, at
the Traffic Management Group, 2nd Floor (North), River Park
House, 225 High Road, Wood Green, London N22 8HQ.
4 If any person wishes to question the validity of the Order or of any
of its provisions on the grounds that it is not within the powers
conferred by the Road Traffic Regulation Act 1984, or that any
requirement of that Act or of any instrument made under that Act
has not been complied with, that person may, within 6 weeks
from the date on which the Order is made, apply for the purpose
to the High Court.

1 NOTICE IS HEREBY GIVEN that the Council of the London Borough of Havering, hereinafter called the Council, on 19 May 2014 made the
above-mentioned Orders under sections 6, 45, 46, 49 and 124 of and Part IV of Schedule 9 to the Road Traffic Regulation Act 1984, as
amended.
2 The general effect of the Orders will be to create a controlled parking zone where residents & businesses whose postal address is indicated
in Schedule 1A to this Notice may purchase permits at the following charges:
(a) residents permit - 1st permit £20.00, 2nd permit £25.00,
3rd permit and any thereafter £60.00
(b) business permit - £71.05 each per year
(c) visitors permits -
-
£1.00 per permit for up to 4 hours
(sold in £10.00 books of 10 permits)
(d) Casual discretionary permit - £5.25 per permit valid for 2 hours
(e) Consent to park waiver - £10.15 per day for the 1st 14 days and
£15.25 per day from 14 days to 3 months
3 The further effects of the Orders will be to:
(a) to provide shared residents & business parking places, operative between 8.00 a.m. and 8.00 p.m. on Mondays to Sundays inclusive, on the
lengths of streets specified in Schedule 1B to this Notice, where a vehicle displaying a valid residents or business parking permit may be left
without time limit;
(b) to provide residents parking places, operative between 8.00 a.m. and 8.00 p.m. on Mondays to Sundays inclusive, on the lengths of streets
specified in Schedule 1C to this Notice, where a vehicle displaying a valid residents permit may be left without time limit;
(c) impose waiting restrictions operative ‘at any time’ on the lengths of streets specified in Schedule 2A to this Notice;
(d) impose waiting restrictions operative between 8.00 a.m. and 6.30 p.m. on Mondays to Saturdays inclusive on the lengths of street specified
in Schedule 2B to this Notice;
(e) impose ‘no stopping except buses’ restrictions operative at any time on the length of street specified in Schedule 3 to this Notice;
(f) provide disabled persons parking places, where a vehicle displaying a valid disabled persons badge may be left at any time, on the lengths of
streets specified in Schedule 4 to this Notice;
(g) provide pay & display parking places, operative between 8.00 a.m. and 6.30 p.m. on Mondays to Saturdays inclusive, on the lengths of
streets specified in Schedule 5 to this Notice at a cost of 20 pence for the first two hours and 50 pence for the maximum period of three hours
and where return to that same parking place will be prohibited for 2 hours;
(h) to designate parking places, operative between 8.00 a.m. and 6.30 p.m. on Mondays to Saturdays inclusive, on the length of street specified
in Schedule 6 to this Notice where vehicles may wait for a maximum period of three hours and where return to that same parking place will be
prohibited for two hours.
4 Copies of the Orders, which will come into operation on 26 May 2014, of the Orders being amended, together with the Councils statement
of reasons for making the Orders and plans showing the locations and effects of the Orders can be inspected until the end of six weeks
from the date on which the Orders were made, during normal office hours on Mondays to Fridays inclusive, at Traffic & Parking Control,
StreetCare, Mercury House, Mercury Gardens, Romford, Essex RM1 3SL.

In the case of Scheme Shareholders who hold their Scheme Shares
jointly (“ Joint Holders ”), the vote of the senior Joint Holder who
tenders a vote, whether in person or by proxy, will be accepted to the
exclusion of the vote(s) of the other Joint Holder(s) and, for this
purpose, seniority will be determined by the order in which the names
in respect of the joint holding stand in the register of members of the
Company.
OTHER NOTICES
Scheme Shareholders may vote in person at the Court Meeting or
they may appoint another person, whether a member of the Company
or not and whether a Scheme Shareholder or not, as their proxy to
attend, speak and vote on their behalf. A BLUE Form of Proxy for use
at the Court Meeting accompanies the Circular. Completion and
return of a BLUE Form of Proxy will not prevent a Scheme
Shareholder from attending and voting at the Court Meeting, or any

chairman of the Court Meeting at the Court Meeting before the taking

Scheme Shareholders who are CREST members and who wish to
appoint a proxy or proxies through the CREST electronic proxy
appointment service may do so by using the procedures described in
the CREST Manual (which can be viewed at www.euroclear.com).
CREST personal members or other CREST sponsored members, and
those CREST members who have appointed a voting service
provider(s), should refer to their CREST sponsor or voting service
provider(s), who will be able to take the appropriate action on their
behalf.
In order for a proxy appointment or instruction made by means of the
CREST service to be valid, the appropriate CREST message (a
“ CREST Proxy Instruction ”) must be properly authenticated in
accordance with Euroclear UK & Ireland Limited’s specifications, and
must contain the information required for such instruction, as
described in the CREST Manual. The message, regardless of whether
it constitutes the appointment of a proxy or is an amendment to the
instruction given to a previously appointed proxy must, in order to be
valid, be transmitted so as to be received by the Company’s registrar,
Equiniti Limited (ID RA19) by no later than 2:00 p.m. on 19 June 2014
or, in the case of an adjournment, not later than 48 hours (excluding
any day which is not a business day) before the time fixed for the
holding of the adjourned meeting. For this purpose, the time of receipt
will be taken to be the time (as determined by the timestamp applied
to the message by the CREST Application Host) from which the
issuer’s agent is able to retrieve the message by enquiry to CREST in
the manner prescribed by CREST. After this time, any change of
instructions to proxies appointed through CREST should be
communicated to the appointee through other means.
CREST members and, where applicable, their CREST sponsors or
voting service provider(s) should note that Euroclear UK & Ireland
Limited does not make available special procedures in CREST for any
particular message. Normal system timings and limitations will,
therefore, apply in relation to the input of CREST Proxy Instructions. It
is therefore the responsibility of the CREST member concerned to
take (or, if the CREST member is a CREST personal member, or
sponsored member, or has appointed a voting service provider(s), to
procure that his CREST sponsor or voting service provider(s) take(s))
such action as shall be necessary to ensure that a message is
transmitted by means of the CREST system by any particular time. In
